Terms of Service

These Terms of Service ("Terms") govern access to and use of the Restro Infinity restaurant and retail point-of-sale platform ("the Platform"), provided by UNOVA Technologies ("we", "us", "our"). By registering a business account, logging in, or otherwise using Restro Infinity, you agree to be bound by these Terms on behalf of yourself and, where applicable, the business ("Merchant") you represent.
1. The Service
Restro Infinity is a subscription-based, multi-tenant software platform that helps Merchants manage orders, billing, kitchen tickets, tables and reservations, inventory and purchasing, staff attendance, and sales reporting, including features that support tax reporting obligations such as synchronising sales data with Nepal's Inland Revenue Department (IRD) where enabled.
2. Accounts & Eligibility
A Merchant business is registered as a Store on the Platform, and the Merchant's administrator may create individual staff accounts ("Users") with a username, password, and MPIN. You must be legally authorised to operate the Merchant's business and to enter into these Terms on its behalf.
Users are responsible for keeping their login credentials, password, and MPIN confidential, and for all activity that occurs under their account. Notify us or the Merchant administrator immediately of any suspected unauthorised use.
3. Merchant Responsibility for Customer Data
Where a Merchant's staff enter information about the Merchant's own customers (such as name, phone number, address, or tax identification number) for receipts, delivery, loyalty, or billing, the Merchant is responsible for having a lawful basis to collect that information and for complying with applicable consumer protection and data protection laws in respect of its own customers. UNOVA Technologies processes such information solely to operate the Platform on the Merchant's behalf, as described in our Privacy Policy.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose, including tax evasion or falsifying records;
- Attempt to gain unauthorised access to another Merchant's data or account;
- Interfere with or disrupt the integrity or performance of the Platform;
- Reverse engineer, decompile, or attempt to extract the source code of the Platform, except as permitted by law;
- Use the Platform to store or transmit data you do not have the right to collect or share.
5. Subscription, Fees & Renewal
Access to Restro Infinity is provided on a subscription/licence basis. Fees, billing cycle, and renewal terms are as agreed with the Merchant at sign-up or renewal. If a subscription is not renewed or payment is not received, we may suspend or limit access to the Platform until the account is brought current.
6. Account Deactivation & Termination
A User may deactivate their own account at any time from Profile > Delete Account, after confirming their password; this immediately logs the account out and marks it inactive so it can no longer be used to sign in. We may also suspend or terminate access to the Platform, in whole or in part, if we reasonably believe these Terms have been violated, fees remain unpaid, or use of the Platform poses a security or legal risk.
Deactivation or termination does not entitle a Merchant or User to a refund of fees already paid, except as otherwise required by law or agreed in writing. Records associated with a deactivated account are retained as described in our Privacy Policy.
7. Intellectual Property
The Restro Infinity software, branding, and underlying technology are owned by UNOVA Technologies and are protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Platform; you receive only a limited, non-exclusive, non-transferable right to use it for your business's internal operations for as long as your subscription is active.
8. Tax & Regulatory Compliance
Restro Infinity may include features intended to help Merchants meet local tax and record-keeping obligations, such as IRD synchronisation. These features are provided as a convenience only. The Merchant remains solely responsible for the accuracy of its records, for complying with all applicable tax, licensing, and consumer protection laws, and for verifying that reports and submissions generated by the Platform are correct before relying on them.
9. Disclaimer of Warranties
Restro Infinity is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation. We do not guarantee that the Platform will be free from downtime, hardware or printer compatibility issues, or data loss.
10. Limitation of Liability
To the maximum extent permitted by applicable law, UNOVA Technologies shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, profits, or data, arising from or related to the use of, or inability to use, Restro Infinity, even if advised of the possibility of such damages. Our total liability arising out of these Terms or use of the Platform shall not exceed the fees paid by the Merchant for the Platform in the twelve (12) months preceding the claim.
11. Governing Law
These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the use of Restro Infinity shall be subject to the exclusive jurisdiction of the competent courts of Nepal.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of Restro Infinity after a change becomes effective constitutes acceptance of the revised Terms.
